Terms and conditions of Use

Welcome to the SCORE website (“Site”), owned by Rexilience S.r.l., with registered office at Corso Venezia, 54 – 20121, Milan, VAT No. IT12011490963, represented by its legal representative pro tempore (“Rexilience”). 

These terms and conditions of use (“Terms and Conditions”) govern the access and use of the Site by each user (“User”), both as a visitor and as a user of the SCORE service (“Service”). 

1. Object

1.1  SCORE is a service provided in SaaS (software as a service) mode for the assessment of the cyber risk of Targets. 

1.2  There are two types of Users:

  • a) Respondent, a user authorized to enter information about the Target under assessment.
  •  
  • b) Power User, a user authorized both to enter information about the Target under assessment and to authorize other Respondents.

1.3 The Runs necessary for assessing the cybersecurity level of the Target are carried out through the functionalities made available by the following Modules:

  • a) Questionnaire execution module
  •  
  • b) Vulnerability scanning module
  •  
  • c) Open-source intelligence (OSINT) analysis module

2.Terms of Use of the SCORE Service and User Obligations

2.1  The use of the Site and its contents by the User implies acceptance, without limitations and without reservations, of these Terms and Conditions and acknowledgment of the Privacy Policy (https://www.my-score.is/privacy-policy/), both accessible within the application. 

2.2  The internet access necessary to use the Site and all related charges and costs, including connection costs, are the responsibility of the User, who must independently procure all necessary hardware or software support. 

2.3 The User is solely responsible for the operation and maintenance of their equipment and for taking all necessary measures to ensure their online security. 

2.4 The User undertakes not to use the Site and related services for illegal purposes or contrary to these Terms and Conditions or in ways that could damage its functionality, make it unusable, cause overload, deterioration, and/or interference with its use by other Users. Any behavior that could result in unauthorized access, even by mere attempts, is prohibited. 

2.5 If Rexilience, at its sole discretion, believes that the User is using the Site and its contents illegally and/or unauthorizedly and/or in violation of these Terms and Conditions, it reserves the right to take any action, both judicial and non-judicial, to protect its rights, including the suspension or interruption of the Service. 

3. Terms Applicable to Specific Content and/or Areas of the Site

3.1  Access to and/or use of certain content and/or areas of the Site may be subject to specific rules, supplementary to these Terms and Conditions (“Supplementary Rules”). In case of conflict between the provisions of these Terms and Conditions and the Supplementary Rules, the provisions of the latter shall prevail. 

4. Use of the Service and Materials

4.1  The Service and materials made available on the Site, such as, by way of example, questionnaires, texts, documents, photographs, graphics, illustrations, videos (“Materials”), may be used exclusively for personal, informational, and non-commercial purposes. 

4.2  Any modification and/or alteration of the Service and Materials, as well as their redistribution, is prohibited. 

4.3  Notwithstanding the above, the User may view on their electronic device, download, store, and print the Materials made available on the Site for download. 

5. Intellectual and Industrial Property Rights

5.1  The Site and its contents, including, by way of example and not limited to, graphics, functionalities, layouts, flow charts, the so-called look and feel, the databases that enable its operation, and the Materials made available through it, are protected by current intellectual and industrial property laws and are the exclusive property of Rexilience. 

5.2  Access to the contents of the Site, the Materials made available on it, and, in general, their use by Users does not grant them or third parties any intellectual and/or industrial property rights over them. 

5.3  The User undertakes not to infringe or disturb the aforementioned rights and not to engage in behaviors that result in the violation of intellectual and/or industrial property rights of Rexilience and/or third parties. 

5.4  The User may not, by way of example and not limited to, modify, copy, distribute, transmit, reproduce, publish, license, create derivative works, transfer, adapt, sell, share on the network, disseminate, the Site or the contents made available through it, or facilitate any of the aforementioned behaviors. The User will be responsible for the violation of intellectual and/or industrial property rights of Rexilience and/or third parties as provided by applicable law. 

5.5  Rexilience reserves the right to take any and all appropriate actions against Users and/or third parties for any initiatives aimed at using the Site and its contents, as well as Materials made available through it, in a manner different from what is provided in these Terms and Conditions of Use. 

6. Authentication/Registration on the Site

6.1  To use the Service, Rexilience will provide the User with access credentials to the account created specifically for them. All expressions of will, acts, and facts producing legal and economic effects performed by the User on the Site using their Account will be attributed to them in an incontestable manner. The User is therefore responsible for the confidentiality of the access credentials to their Account (collectively “Access Credentials”) and undertakes to use them personally and exclusively on their devices. 

6.2  The User undertakes to immediately notify Rexilience of any unauthorized use of their Access Credentials or Access Credentials and any other fact that violates their security. Rexilience will not be held responsible for any damages caused by the use of the Access Credentials or Access Credentials by third parties, with or without the User’s authorization and regardless of whether the User is aware of it. In any case, the User will be held responsible for any losses and/or damages suffered by Rexilience and/or third parties due to the use of their Access Credentials or Access Credentials by another person. 

6.3  The User may decide to deactivate their Account at any time by sending an email to privacy@rexilience.eu or through other methods made available on the Site from time to time. 

6.4  Upon receipt of the Account deactivation request, Rexilience will deactivate it within 5 working days, notifying the User. 

7. Privacy & Cookies

7.1  For personal data protection and cookie policies, Users are invited to consult the Privacy Policy available at this link: https://www.my-score.is/privacy-policy/. 

8. Security, Passwords, and Means of Access to the Site and Content

8.1  The User undertakes not to (i) access or use the Site and its contents in any way that could damage, disable, overload, or compromise Rexilience’s accounts, computer systems, or networks; (ii) attempt to gain unauthorized access to any part of the Site or any Rexilience account, computer system, or network; (iii) interfere or attempt to interfere with the proper functioning of the Site or any Rexilience account, computer system, or network; (iv) use robots, spiders, scrapers, or other automated means to access the Site or any Rexilience account, computer system, or network without Rexilience’s express written authorization. 

8.2 Rexilience may implement additional security measures to protect the Site and its contents, including but not limited to encryption, access controls, and monitoring. 

8.3 Rexilience will conduct regular security audits and assessments to ensure the integrity and security of the Service. These audits may include vulnerability assessments, penetration testing, and compliance checks. 

8.4 Rexilience will make commercially reasonable efforts to ensure that the Service is available 24/7, except during scheduled maintenance periods. Users will be notified in advance of any scheduled maintenance. 

9. Liability

9.1  Rexilience makes no representations and/or warranties, nor does it make any promises (express or implied) regarding the Site or its content. 

9.2  The User uses the Site “as is,” meaning as it is offered and available at the time they connect and view its content. Rexilience disclaims any liability arising from reliance on the contents of the Site and the Materials made available through it, whether by the User or third parties. 

9.3  By way of example and not limited to, Rexilience does not guarantee that: (i) the Service, the contents of the Site, and the Materials made available through it will meet the User’s needs; (ii) the Service will be available on an uninterrupted, timely, secure, or error-free basis; (iii) the results that may be obtained from the use of the Service, the contents, or the Materials provided on or through the Site will be secure or reliable. 

9.4  Rexilience will not be liable for any damage to the User’s computer system or loss of data resulting from the download or use of the contents. 

9.5  Rexilience is not liable to the User or any parties directly or indirectly connected to the User for damages, claims, or losses arising from disruptions or suspensions of the Site and related Services due to causes not directly attributable to and/or connected with its activity. By way of example and not limited to, Rexilience will not be liable for any (i) inaccurate or non-compliant use of the Site or Services made available to users, including the entry of false or inaccurate data; (ii) connectivity and continuity issues with the internet connection available to Users; (iii) problems dependent on the devices used by Users, their characteristics, and/or due to any malfunctions of the same; and (iv) compatibility issues between the devices used by Users and the technical characteristics of the Site. 

9.6  In no event shall Rexilience be held liable for failure to fulfill its obligations due to force majeure or unforeseeable circumstances such as, by way of example and not limited to, actions by public authorities, floods, accidents, telecommunications issues, lightning, equipment failures not attributable to it, interruptions or overloads of energy flows, failures or interruptions of telephone lines attributable to the activity of the operator (or concessionaire) of the same lines, as well as interruptions or suspensions not attributable to or otherwise independent of Rexilience’s will or deriving from third parties. 

9.7  Under no circumstances – including, by way of example and within the limits of the law, negligence – shall Rexilience and/or any affiliates, successors, assigns, employees, agents, directors, officers, and shareholders be liable for any direct, indirect, incidental, special, or consequential loss or damage arising from, or otherwise connected to, the use of the Site or the enjoyment of the contents and Materials made available through it. 

9.8  The User assumes full responsibility for the truthfulness and accuracy of the data and information provided, directly or on behalf of third parties, during the use of the Service and ensures that they are lawfully available, not contrary to mandatory rules, and do not violate any copyright, trademark, patent, or other third-party rights. 

9.9  The User expressly agrees that any decision or action taken during the use of the Service is at their sole discretion and risk. 

9.10  In light of the above, the User undertakes to indemnify and hold Rexilience harmless from and against all damages, losses, and expenses of any kind (including legal fees and costs) claimed against it in relation to the provisions of §§ 9.8 and 9.9.

10. Terms for Resellers

10.1  Authorization: Resellers are authorized to market and sell the SCORE service under the terms and conditions set forth in this agreement.

10.2  Reseller Obligations: Resellers must comply with all applicable laws and regulations in their marketing and sales activities. Resellers are responsible for ensuring that their customers comply with the terms and conditions of this agreement.

10.3  Prices and Payments: Resellers are responsible for setting their own prices for the SCORE service. Payment terms between Rexilience and the reseller will be agreed upon in a separate agreement.

10.4  Support and Training: Rexilience will provide resellers with the necessary support and training to effectively market and sell the SCORE service. Resellers are responsible for providing first-level support to their customers.

10.5  Termination: Rexilience reserves the right to terminate the agreement with the reseller at any time for any reason, including but not limited to breach of this agreement or failure to meet sales targets.

10.6  Intellectual Property: Resellers are granted a non-exclusive, non-transferable license to use Rexilience’s trademarks and logos solely for the purpose of marketing and selling the SCORE service. Resellers must comply with Rexilience’s branding guidelines.

10.7  Compliance with Original Terms: Resellers must ensure that their customers comply with the terms and conditions of the original service provider. This ensures consistency and protects Rexilience’s intellectual property and service standards.

10.8 Usage Restrictions: Resellers must impose the original terms on their customers, including prohibitions on illegal activities, modifications, and redistribution of the service.

10.9  Data Protection: Resellers must ensure that their customers comply with data protection regulations, such as GDPR, and accept the same data management and privacy policies as Rexilience.

10.10  Liability and Indemnification: Resellers must include clauses in their agreements with customers that limit their liability and require customers to indemnify them against any claims arising from the customer’s use of the service.

10.11  Support and Maintenance: Resellers must outline the level of support and maintenance they will provide to their customers, often mirroring the support they receive from Rexilience.

10.12  Termination of Customer Agreements: Resellers must include terms regarding the termination of the service in their agreements with customers, including the conditions under which the service may be terminated and the consequences of termination.

10.13  Payment Terms for Customers: Resellers must clearly communicate their prices and payment terms to customers, ensuring alignment with Rexilience’s policies.

10.14  Reseller Performance Metrics: Resellers are required to meet certain performance metrics, including sales targets and customer satisfaction ratings. Failure to meet these metrics may result in the termination of the agreement with the reseller.

10.15  Reseller Training and Certification: Resellers must complete any training and certification programs provided by Rexilience to ensure they are knowledgeable about the SCORE service and capable of providing high-quality support to their customers.

11. Contacts and Support

11.1  Users can request support from Rexilience through the customer support service by sending an email to support@my-score.is. Rexilience will respond to the User as soon as possible.

12. Changes and Updates to the Terms and Conditions

12.1  Any changes to these Terms and Conditions will be communicated to the User and will become effective immediately. The User can decide to confirm or deny their consent. A copy of the most updated version of these Terms and Conditions is always available on the Site. 

12.2  If any provision of these Terms and Conditions is declared null or ineffective by the competent authority, the Terms and Conditions will continue to be fully effective for the part not affected by said clause, unless it has been an essential and determining reason for the conclusion of the relationships. 

12.3  The fact that Rexilience does not enforce the rights recognized by one or more clauses of these conditions at any time shall not be construed as a waiver of such rights nor prevent it from subsequently demanding compliance with any and all contractual clauses. 

13. Applicable Law and Jurisdiction

13.1  These Terms and Conditions are governed and interpreted according to Italian law.

13.2  Any dispute connected and/or related to these Terms and Conditions will be subject to the exclusive territorial jurisdiction of the Court of Milan.
